N1Hawk Terms of Service
The definitive rules of engagement for interacting with the N1Hawk platform, community tools, and partner experiences.
1. Corporate Identity and Contact Information
Vertali Group currently administers the N1Hawk platform as an interim steward responsible for community management, technical infrastructure, merchandising operations, partner coordination, and customer experience oversight. Vertali will continue to perform these functions until N1Hawk, LLC is formally registered with the State of Florida, executes an internal transition memorandum, and accepts assumption certificates covering platform operations. Upon satisfaction of those conditions, N1Hawk, LLC will assume all forward-looking contractual, compliance, and customer service obligations tied to the Services.
Vertali will remain responsible for liabilities that pre-date the N1Hawk, LLC assumption event, including legacy vendor debts, employee obligations, tax filings, and any claims arising from conduct occurring before the effective transition date. Afterward, Vertali will support N1Hawk, LLC as a services provider for historical record requests and regulatory responses relating to the legacy period.
Official legal notices, regulatory correspondence, and service of process must be addressed to the designated compliance locations listed below until we publish the N1Hawk, LLC registered agent information. Parties must provide written notice at least thirty (30) days before asserting claims that require Vertali or N1Hawk, LLC performance, and notices are deemed received only when delivered via nationally recognized courier, certified mail, or as otherwise required by law.

During the transition, Vertali is coordinating account handoffs, updating sponsorship and moderation policies, and documenting system configurations so the new entity can maintain continuity. Fans and partners will receive advance notice through official channels regarding new contact portals, payment remittance details, and updated branding assets when N1Hawk, LLC takes command. Support inquiries, data protection requests, and platform feedback should continue to be submitted through the contact channels identified on the N1Hawk website or via the primary support email listed therein. We may require verification of identity or authority before responding to sensitive requests.
2. Acceptance of Terms and Future Amendments
Your access to the Services is conditioned on your acceptance of these Terms in their entirety. We reserve the right to modify, supplement, or replace any portion of these Terms at our discretion to address operational changes, legal developments, or user feedback. When material updates occur, we will revise the “Updated” date displayed above, provide notice through the Services, or deliver communications using the contact information associated with your account.
Revisions become effective upon posting unless a different effective date is specified. Continued use of the Services after the effective date constitutes affirmative acceptance. If you object to the revised Terms, your sole remedy is to cease all use of the Services and, where applicable, close your account. Certain provisions, including those governing intellectual property, indemnification, disclaimers, dispute resolution, and limitations of liability, survive termination and continue to govern the relationship between you and Vertali.
We may also release feature-specific terms, event policies, developer guidelines, or sponsorship agreements that supplement these Terms. Where a conflict exists, the more specific or protective provision controls to the extent permitted by law. You are responsible for reviewing all applicable policies before engaging with a new feature or opportunity.
3. Eligibility, Registration, and Account Security
You represent and warrant that you are of legal age and capacity to enter into these Terms or, if you are accessing the Services on behalf of a minor or an organization, that you possess the legal authority to bind such party and assume full responsibility for compliance. The Services are not intended for individuals under thirteen (13) years of age. Where parental or guardian consent is required by law, you agree to supervise usage and accept these Terms on the minor’s behalf.
When creating or managing an account, you agree to provide accurate, complete, and current information, including contact details, payment credentials, and verification documentation when requested. You are responsible for maintaining the confidentiality of your login credentials, enabling multi-factor authentication where offered, and promptly notifying us of any unauthorized access, suspected compromise, or security vulnerabilities. Vertali is not liable for losses arising from compromised credentials that could have been prevented through reasonable safeguards.
We may deny, suspend, or terminate accounts that contain false or misleading information, impersonate other individuals or brands, violate these Terms, or pose a risk to the integrity of the Services. You acknowledge that we may implement identity verification, know-your-customer procedures, sanctions screening, tax reporting protocols, and fraud prevention controls as conditions to accessing certain features such as tipping payouts, merchandise drops, or partner collaborations.
4. Acceptable Use and Community Expectations
The N1Hawk community thrives on respect, inclusivity, and authenticity. You agree to conduct yourself responsibly and to comply with all applicable laws, the Vertali Policy, community guidelines, event codes of conduct, and moderation directives issued by Vertali, moderators, or appointed representatives. Failure to comply may result in removal of content, temporary suspension, permanent termination, forfeiture of rewards, and referral to law enforcement where legally mandated.
- Prohibited conduct includes harassment, hate speech, discriminatory remarks, doxing, stalking, threats, incitement of violence, dissemination of personal data without consent, exploitation of minors, impersonation, spam, fraud, and any action intended to disrupt the Services.
- You must not interfere with moderation tools, submit malicious code, perform unauthorized vulnerability testing, or use automated systems to scrape data beyond what is permitted under our robots.txt or API documentation.
If you witness or experience conduct that violates these Terms, you agree to report the incident through official channels and to cooperate with any resulting investigation. We reserve sole discretion in determining appropriate enforcement outcomes and may collaborate with third-party platforms, sponsors, or authorities when necessary to preserve community safety.
5. Financial Transactions, Tipping, and Commerce
The Services may enable tipping, digital redemptions, merchandise sales, subscriptions, sponsorship activations, and other financial engagements. Payment processing is performed by third-party providers subject to their own terms of service, privacy notices, and compliance obligations. By initiating a transaction, you authorize the applicable provider to charge your selected payment method, share transaction data with Vertali for fulfillment and analytics, and retain records consistent with regulatory requirements.
Unless expressly stated otherwise, all contributions, tips, and digital payments are final, non-refundable, and non-transferable. Chargebacks or disputes initiated with your payment provider may result in immediate account suspension, reversal of associated rewards, and recovery of outstanding balances plus applicable fees. We reserve the right to impose transaction limits, request identity verification, or decline payments that trigger risk thresholds.
Merchandise purchases, pre-orders, and event registrations are subject to inventory availability, fulfillment timelines, and shipping constraints. We may substitute comparable items or cancel orders when supply chain conditions necessitate changes. All commercial activities conducted through the Services must comply with taxation, export control, consumer protection, and e-commerce regulations applicable in your jurisdiction.
6. Virtual Goods, Loyalty Programs, and Rewards
Virtual goods, loyalty points, badges, titles, and other digital rewards made available through the Services have no monetary value, cannot be exchanged for real-world currency, and are subject to the rules communicated at the time of issuance. Vertali may modify, suspend, or discontinue any rewards program, redemption mechanic, or promotional offering without notice.
You are responsible for understanding the eligibility requirements, expiration dates, and usage restrictions associated with virtual goods or promotional offerings. Misuse, exploitation of glitches, or unauthorized transfer of rewards may result in revocation, suspension of privileges, or account termination.
7. Third-Party Platforms and Integrations
The Services may interoperate with third-party platforms, including Twitch, Discord, YouTube, Patreon, payment gateways, e-commerce providers, sponsors, analytics services, and social media networks. Your use of third-party services is governed by their respective terms and privacy policies. Vertali is not responsible for the acts or omissions of third parties, the accuracy of third-party content, or the availability of external platforms.
Connecting your account to third-party services authorizes Vertali to receive information from those services consistent with your settings and the third party’s policies. We may disable integrations or restrict features if we determine that continued access poses security, compliance, or operational risks.
8. Suspension, Termination, and Remedies
We may temporarily or permanently suspend your access to the Services, remove content, or restrict specific features to investigate suspected violations, comply with legal obligations, or protect community safety. Unless prohibited by law or security considerations, we will provide notice of enforcement actions and outline available appeal procedures. Decisions regarding suspension or reinstatement rest solely with Vertali.
Upon termination of your account, your right to access the Services ceases immediately. We may retain data for legitimate business purposes, dispute resolution, legal compliance, or archival requirements as described in the Privacy Policy. Certain obligations, including payment of outstanding balances, indemnification, and dispute resolution, survive termination.
9. Events, Experiences, and Communications
N1Hawk hosts virtual and in-person experiences, including livestreams, meetups, tournaments, charitable drives, workshops, and partner activations. Participation may require additional waivers, releases, age verification, parental consent, or compliance with venue-specific rules. We reserve the right to modify schedules, adjust lineups, limit capacity, or cancel events for reasons including safety, public health, regulatory directives, logistical constraints, or force majeure events.
You are responsible for securing travel arrangements, accommodations, insurance coverage, equipment, and any authorizations required to attend events. Except where mandated by law, we are not liable for travel costs, incidental expenses, or damages arising from event modifications or cancellations outside our control. By attending events, you voluntarily assume associated risks and agree to follow instructions issued by Vertali staff, moderators, venue personnel, and public authorities.
By engaging with the Services, you consent to receive transactional communications, including confirmations, account alerts, event updates, and essential policy notifications. You may opt out of non-essential marketing messages as detailed in the Privacy Policy; however, certain communications are necessary to deliver the Services and cannot be disabled.
10. Intellectual Property and Content Licensing
All trademarks, logos, service marks, trade dress, audiovisual content, software, documentation, and other proprietary materials appearing on the Services are owned by or licensed to Vertali and are protected by intellectual property laws and international treaties. Except as expressly authorized in writing, you may not reproduce, distribute, modify, create derivative works from, publicly perform, or otherwise exploit any portion of the Services.
By submitting chat messages, creative works, feedback, suggestions, testimonials, or other contributions (“User Content”), you grant Vertali a worldwide, royalty-free, transferable, sublicensable, perpetual license to use, display, reproduce, adapt, publish, broadcast, translate, and create derivative works from the User Content in connection with operating, promoting, and archiving the Services. This license survives termination of your account. You represent that you own or have obtained all rights necessary to grant this license without infringing third-party rights.
We reserve the right to remove or disable access to User Content that we believe violates these Terms, infringes intellectual property rights, or poses security or legal risks. If you believe that material on the Services infringes your rights, you may submit a detailed notice in accordance with applicable intellectual property statutes, including the Digital Millennium Copyright Act for U.S. claims, and we will respond as required by law.
DMCA Process. Vertali Group manages DMCA notices for N1Hawk and responds to takedown and counter-notification requests consistent with 17 U.S.C. §512. Rights holders should follow the submission steps outlined on our DMCA Process page, which details the designated agent contact information, required statements, counter-notice elements, and response timelines. We use the information provided there to validate requests, communicate with impacted users, and reinstate material where appropriate.
11. Disclaimers, Limitation of Liability, and Assumption of Risk
The Services are provided on an “as is,” “as available,” and “with all faults” basis. To the fullest extent permitted by law, Vertali disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, data accuracy, and uninterrupted availability. We do not guarantee that the Services will meet your requirements, achieve intended results, or be free from harmful components.
You acknowledge that livestreams, interactive features, partner integrations, and third-party services may experience delays, outages, content removal, or performance degradation. Vertali is not responsible for damages arising from reliance on information presented through the Services, including advice shared during streams, community discussions, or partner activations. You assume full responsibility for your use of the Services and any decisions made based on content encountered therein.
To the maximum extent permitted by law, Vertali’s aggregate liability to you for claims arising from or relating to these Terms or the Services is limited to the greater of one hundred United States dollars (USD $100) or the amounts you paid to Vertali for the Services during the twelve (12) months preceding the claim. Vertali is not liable for indirect, incidental, consequential, special, punitive, exemplary, or enhanced damages, or for loss of profits, goodwill, data, opportunity, or other intangible losses, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vertali and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of these Terms or applicable law, your User Content, or your interactions with third parties through the Services. Vertali reserves the right to assume exclusive control of any matter otherwise subject to indemnification, in which case you agree to cooperate fully with our defense strategy.
13. Governing Law, Jurisdiction, and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be submitted to binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in Orlando, Florida, before a single arbitrator, and the arbitral award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, Vertali may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights, confidential information, or to prevent irreparable harm. You waive the right to a jury trial and agree that you may bring claims against Vertali only in your individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
If any portion of this dispute resolution provision is found to be unenforceable, the remainder remains in effect, and the parties agree that exclusive jurisdiction for any remaining claims resides in the state and federal courts located in Orange County, Florida.
14. International Considerations and Export Controls
The Services are controlled and operated from the United States. We do not represent that the Services are appropriate, lawful, or available for use in other jurisdictions. If you access the Services from outside the United States, you do so on your own initiative and are responsible for complying with local laws, including export control and import regulations. You must not use or export the Services in violation of U.S. export laws, economic sanctions, or the laws of the jurisdiction in which you access the Services.
Individuals and entities located in, organized under the laws of, or ordinarily resident in embargoed territories, or who appear on U.S. government restricted party lists, are prohibited from accessing the Services. You represent that you are not subject to such restrictions and will not facilitate access for parties who are.
15. Miscellaneous
These Terms constitute the entire agreement between you and Vertali regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
The failure of Vertali to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign our rights and obligations without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Any notices or communications we provide may be delivered electronically, including via email, platform messaging, or posting within the Services. You consent to receive communications in electronic form and agree that all such communications satisfy legal requirements that such communications be in writing.
